Wholesale Relationship: These terms govern the sale of textile products to distributors and hotel properties. By placing an order, the Buyer confirms they are a business entity purchasing for commercial use or resale.

Order Acceptance: All orders are subject to acceptance by Bacova Mills. We reserve the right to limit quantities or refuse service based on production capacity or creditworthiness.

Pricing & Taxes: Prices are quoted in $USD. Unless otherwise stated, prices do not include shipping, insurance, or applicable sales taxes, which are the responsibility of the Buyer.

Product Specifications: While we strive for consistency, textiles are subject to minor variations in "dye lot" color and weight (GSM). A variance of +/- 5% is considered industry standard and not a defect.

Commercial Use & Liability: Our products are designed for commercial hospitality use. However, Bacova Mills is not liable for injuries resulting from improper maintenance, floor surface incompatibility, or failure to follow care instructions.

Intellectual Property: All designs, branding, and technical specifications remain the property of Bacova Mills.
2. Refund and Cancellation Policy
Order Cancellations

Standard Stock: Orders for in-stock items may be cancelled within 24 hours of payment without penalty.

Custom/Bulk Orders: Once a production run for a specific distributor or hotel property has begun, cancellations are not permitted, or will be subject to a 30% materials forfeiture fee.
Shipping & Damaged Goods

Inspection Period: Buyers must inspect all shipments upon arrival. Any claims for shortages or visible damage must be reported within 3 business days of delivery.

Freight Claims: If goods were damaged in transit via a third-party carrier, the Buyer must note the damage on the Bill of Lading (BOL) to facilitate a claim.
Returns & Refunds

Defective Merchandise: We stand by our quality. If a product fails to meet commercial specifications (e.g., excessive shedding, unraveling), we will offer a replacement or credit.

Change of Mind: Because these are bulk commercial goods, we generally do not accept returns for "change of mind." If an exception is made, a 10% restocking fee plus return shipping costs will apply.

Condition of Returns: Returned items must be unwashed, unused, and in original bulk packaging.
